    First, hear about issues which arise concerning data privacy and security; they impact many different businesses—not just financial services and healthcare—and should be addressed both by agreements and corporate policies and procedures in order to prevent liability and adverse publicity from data breaches. And understand the important role that insurance and other mechanisms play in this arena.

    Then get an update on recent opinions of the Delaware courts, as well as statements in articles published by members of the Delaware judiciary, regarding (i) the board's selection and oversight of its advisors—specifically its financial advisors, and (ii) the board's documentation of its deliberations, particularly in the context of a strategic alternative review process. Deferred compensation, including stock options, supplemental retirement benefits, and severance can trigger substantial penalty taxation on executives if not designed and operated properly. Understand 409A tax triggers on executive compensation and how to navigate common problems in structuring deferred compensation for businesses.

    Then delve into the intellectual property issues that crop up everywhere, every day. IP issues can take obvious forms, such as letters from patent holders, but also can result from use of images on your website, the name of your product, or use of customer data. Understand how ownership and rights to intellectual property can be used to advance business goals, and how inattention to these rights can cause businesses real problems.

    Finally, the Conference transitions to "dollars and sense"—with emerging technology companies enjoying a favorable climate for fundraising, there have been key developments in the types of securities that these companies are issuing, as well as different approaches to documenting the sale of more customary securities.
