    Of all the business organizations that an entrepreneur can select to operate under, corporations and limited liability companies are by far the most frequently used. Though the scope and complexity of an entity’s governing documents may vary depending on the purpose and goals of the company, the governing documents are important vehicles by which the business is ultimately run. Because these documents govern the business throughout its entire lifespan, being able to identify your client’s specific needs—and drafting and negotiating the documents to reflect them—is a vital skill all business attorneys must possess. This program focuses on the most common structuring issues encountered in incorporation documents and limited liability company agreements. The faculty provide practical tips on selecting the appropriate entity for your client and identifying and resolving the issues that routinely surface while drafting a business organization’s governing documents—including stock issuance, voting and governance terms, and restrictions on transfer.
